Annual Business Meeting Minutes

Friday, 6/4/2004

Sheppard Mullin (501 W. Broadway)

1. The Meeting was called to order at approximately 12:13 PM.

2. SANDALL member attendees are welcomed. Daily Journal Corporation is thanked for their sponsorship of the lunch and Sheppard Mullin is thanked for yousting the meeting.

3.New SANDALL Member Introduction: John Adkins, USD, introduces Priscilla Day, USD.

4. May Executive Board meeting minutes were approved via e-mail.

5. Bylaws Amendment Ballot Vote: Ballots are distributed, votes are taken, ballots are retrieved, and the final roll is counted (J. Adkins and B. Williams). Incoming Secretary announces final vote count:

  1. Issue (1) PASSES UNANIMOUSLY ("Shall the Amendments to SANDALL Bylaws Art. 10 to allow for membership voting by email and fax on issues affecting the Association except for Executive Board elections be adopted?");
  2. Issue (2) PASSES WITH A VOTE OF 29-4 ("Shall the Amendments to SANDALL Bylaws Article 5 reflecting the changes of AALL membership categories and removing the requirement that the V.P. be a member of AALL be adoopted?");
  3. Issue (3) PASSES UNANIMOUSLY ("Shall the Amendments to SANDALL Bylaws Art. 7 Committees updating the language to have it include all the standing committees and grant the Board power to create necessary committees be adopted?").

6. Announcements: Plans for the Pacific Chapter Joint Reception in Boston are discussed by Liz Carroll: RSVP are requested; the Reception is to be sponosored by West on Sunday, July 11, from 6:30 PM to 8:00 PM (slotted just prior to the AALl Opening Reception) in the Sheraton Commonwealth Room.
